Terms and Conditions for UCaaS Service Provider with 10DLC Registration

1. Introduction

Welcome to Bontrager Security Solutions, LLC (“Company”, “we”, “our”, or “us”). By accessing and using our services, including but not limited to Unified Communications as a Service (UCaaS), 10DLC (10-Digit Long Code) messaging services, and any other services or products provided (the “Services”), you (“Customer” or “you”) agree to comply with and be bound by these Terms and Conditions (the "Agreement").

This Agreement is intended to outline the terms governing your use of our Services, including compliance with 10DLC registration requirements under applicable Federal Communications Commission (FCC) and carrier regulations. If you do not agree to these Terms, you may not use our Services.

2. Services Provided

Bontrager Security Solutions, LLC offers Unified Communications as a Service (UCaaS) which includes, but is not limited to:

  • Voice and video communications

  • Messaging (including SMS, MMS, and 10DLC)

  • Cloud-based collaboration tools

  • Call center solutions

  • Customer support services

In addition, we provide 10DLC messaging services which allow businesses to send SMS/MMS messages using a 10-digit phone number, compliant with the guidelines established by carriers and regulatory bodies.

3. 10DLC Registration Compliance

a) 10DLC Registration Requirement: To send SMS or MMS messages via 10-digit long codes (10DLC), you must be registered with the applicable carriers. This registration is required for businesses to send messages for commercial or promotional purposes in accordance with the CTIA (Cellular Telecommunications and Internet Association) and carrier guidelines. Failure to register may result in message blocking, delays, or additional fees.

b) Customer Responsibility: You are responsible for providing accurate information for your 10DLC registration, including business details, intended messaging use, and message volume estimates. This information will be used to register your 10DLC number(s) with carriers and comply with the applicable regulations. You must promptly update any changes in your registration information, including business name, use case, and messaging volume.

c) Carrier-Approved Use Cases: Your use of 10DLC messaging services must comply with approved use cases as specified by the carriers. These may include, but are not limited to, customer care, appointment reminders, two-factor authentication, and marketing notifications. We reserve the right to refuse services for any messaging use case deemed non-compliant.

d) Message Content Compliance: By using our Services, you agree to ensure that all messages sent via 10DLC are compliant with all relevant local, state, and federal laws, including those governing privacy, data protection, and telecommunication. You agree not to send messages that violate any laws, such as illegal content, spam, or fraudulent messages.

4. Prohibited Uses

You agree not to use the Services for any of the following purposes:

  • Spamming, unsolicited marketing, or advertising of products and services without proper consent.

  • Violation of any applicable local, state, or federal law, including telecommunication laws.

  • Engaging in activities that cause harm, harassment, or annoyance to others.

  • Using the Services for fraudulent purposes, including sending deceptive messages or misrepresenting the sender’s identity.

  • Sending excessive or unsolicited automated messages that could disrupt the Services or carriers’ networks.

 

5. Fees and Billing

a) Service Fees: You agree to pay all applicable fees associated with your use of our Services, including setup fees, monthly service fees, messaging fees, and any applicable taxes. Specific pricing details will be provided to you prior to your subscription to the Services.

b) Late Payments: If any payment is not received by the due date, we may suspend or terminate your access to the Services.

c) Third-Party Fees: You are responsible for any third-party charges (such as data usage or phone carrier charges) associated with using the Services.

6. Data Privacy and Security

a) Data Collection: In providing the Services, we may collect certain personal and business-related information. We will process and store your data in accordance with our Privacy Policy, which is available for review.

b) Confidentiality: You agree to maintain the confidentiality of all confidential information provided by us and not to disclose it to any third parties without our prior written consent.

7. Service Limitations and Disclaimers

a) No Guarantee of Delivery: We cannot guarantee the delivery of messages sent through the 10DLC service due to various factors such as carrier filtering, network issues, or recipient phone settings. We will make commercially reasonable efforts to deliver messages but are not liable for any failure to deliver.

b) Service Interruptions: We are not liable for any interruptions, delays, or outages in the Services caused by factors beyond our control, including but not limited to network issues, carrier restrictions, or force majeure events.

c) Service Changes: We reserve the right to modify or discontinue certain aspects of the Services at any time, with prior notice to you.

8. Limitation of Liability

Except as required by law, our liability for any claim arising under this Agreement is limited to the amount paid by you for the Services in the month in which the claim arises. We will not be liable for any indirect, incidental, or consequential damages, including loss of data or business interruption.

9. Indemnification

You agree to indemnify, defend, and hold harmless Bontrager Security Solutions, LLC, its employees, directors, and affiliates from any claims, liabilities, damages, or expenses arising from your use of the Services, including but not limited to any violations of these Terms or any applicable laws or regulations.

10. Termination and Suspension

a) Termination by You: You may terminate this Agreement at any time by providing written or verbal notice to us. Upon termination, you will be responsible for paying any outstanding fees for Services rendered up to the termination date.

b) Termination by Us: We may terminate or suspend your access to the Services for non-payment, violation of these Terms, or non-compliance with 10DLC registration requirements, at our sole discretion.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of The State of Indiana and the United States of America, without regard to its conflict of law principles.

12. Dispute Resolution

Any dispute arising from this Agreement shall be resolved through binding arbitration under the rules of the Ste of Indiana, and the parties agree to bear their own legal costs.

13. Changes to Terms

We may modify these Terms and Conditions at any time. Any changes will be posted on our website, and the new Terms will become effective immediately upon posting. By continuing to use the Services after the changes are made, you accept and agree to the modified Terms.
